1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity) and Localify ("Localify AI," "we," "us," or "our") governing your access to and use of the Localify AI platform, website, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to both you and the organization.

2. Definitions

In these Terms:

"Account" means the account created by you to access and use the Service.

"AI Model" refers to the artificial intelligence and machine learning systems used by Localify AI to provide translation and localization services.

"Customer Data" means all data, content, and materials that you upload, submit, or otherwise provide to the Service, including game assets, text strings, translation memories, glossaries, and other content to be processed.

"Output" means the translations, localizations, and other content generated by the Service based on your Customer Data and instructions.

"Subscription Plan" refers to the service tier and pricing plan you select when registering for the Service.

3. Service Description

Localify AI provides an AI-powered platform for game localization, offering tools for translating and adapting game content for international markets. The Service includes:

  • Access to our general AI translation models ("Standard Models")
  • The ability to create custom AI models trained on your specific content ("Custom Models")
  • Project management tools for localization workflows
  • Integration capabilities with game development platforms
  • Analytics and quality assurance features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes to the Service.

4. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide accurate and current information when creating your account
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access or use of your account
  • Take responsibility for all activities that occur under your account
  • Not share your account with others or create multiple accounts

We reserve the right to disable any account if we believe you have violated these Terms.

5. Subscription and Billing

Localify AI offers various Subscription Plans with different features, limitations, and pricing. Your access to certain features depends on your Subscription Plan.

For paid Subscription Plans:

  • You agree to pay all fees associated with your Subscription Plan
  • Fees are charged in advance on a monthly or annual basis, as selected during signup
  • Subscription renewals are automatic unless canceled before the renewal date
  • Refunds are provided in accordance with our Refund Policy, available upon request
  • We may change our fees upon reasonable notice before your billing cycle renews

Free trial periods may be offered for evaluation purposes. At the end of the trial period, you will be charged for the Subscription Plan you selected unless you cancel before the trial expires.

6. Customer Data Rights and Responsibilities

You retain all ownership rights to your Customer Data. By submitting Customer Data to the Service, you grant us a limited license to use, reproduce, adapt, modify, and process such data solely as necessary to provide the Service to you.

You are responsible for:

  • Ensuring you have all necessary rights to submit Customer Data to the Service
  • Ensuring Customer Data does not violate third-party rights or applicable laws
  • Maintaining appropriate backups of your Customer Data
  • Ensuring Customer Data does not contain malicious code or harmful components

We will treat your Customer Data as confidential and will not access, use, or disclose it except as necessary to provide the Service or as required by law.

7. AI Models and Output

Standard Models: Our general AI translation models are available to all users according to their Subscription Plan. We retain all rights to these models.

Custom Models: Custom AI models trained specifically on your Customer Data are available on certain Subscription Plans. While we maintain ownership of the underlying technology, you have exclusive access to any Custom Model created specifically for you during the term of your subscription.

Output: You own all rights to the Output generated by the Service based on your Customer Data, subject to our underlying intellectual property rights in the AI technology.

Usage Limits: Your Subscription Plan determines the volume of content you can process and the features you can access. Exceeding these limits may result in additional charges or temporary service restrictions.

8. Intellectual Property

Localify AI's Ownership: We own and retain all rights, title, and interest in and to:

  • The Service and all software, technology, and infrastructure used to provide it
  • The underlying AI models and technology
  • Our trademarks, logos, and brand elements
  • Improvements, modifications, and derivatives of the above

Limited License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service as permitted by these Terms and your Subscription Plan.

Your Content: You retain ownership of your Customer Data and Output as specified in Section 6 and 7.

Feedback: If you provide suggestions or feedback regarding the Service, we may use this feedback without restriction or compensation.

9. Confidentiality and Data Protection

We will treat your Customer Data as confidential and implement reasonable security measures to protect it. We will only process your personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

We will not:

  • Sell or rent your Customer Data to third parties
  • Use your Customer Data to train our Standard Models without your explicit permission
  • Disclose your Customer Data except as necessary to provide the Service or as required by law

For Custom Models, we use only your data to train these models, and they are used exclusively for your translations.

10. Prohibited Uses

You agree not to:

  • Use the Service to violate any law or regulation
  • Upload or transmit any harmful, illegal, or offensive content
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to develop a competing product or service
  • Exceed usage limitations or circumvent usage restrictions
  • Interfere with the proper operation of the Service
  • Use automated means or scripts to access the Service without permission

We reserve the right to remove any Customer Data or Output that violates these Terms and to suspend or terminate accounts engaged in prohibited activities.

11. Term and Termination

These Terms remain in effect until terminated by either party.

You may terminate these Terms at any time by canceling your Account through the Service interface or by contacting our support team. We may terminate or suspend your access to the Service immediately, without prior notice, if you violate these Terms.

Upon termination:

  • Your right to access and use the Service will cease immediately
  • We may delete your Customer Data and Output after a grace period (typically 30 days) to allow for potential reactivation
  • Paid users may request an export of their Customer Data prior to account deletion
  • Provisions of these Terms that by their nature should survive termination will survive

12. Disclaimers and Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide accurate translations and localizations, we do not guarantee that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Translations and localized content will be 100% accurate or culturally appropriate
  • All errors or defects will be corrected

You acknowledge that AI-generated translations require human review and that you are responsible for the final quality of localized content used in your games or applications.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will Localify AI, its affiliates, officers, employees, agents, suppliers, or licensors be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from interruption of service or inability to access the Service
  • Damages arising from your use of or reliance on the Service or Output

Our total liability for any claims under these Terms will not exceed the amount you paid for the Service during the 12 months preceding the claim.

These limitations will apply even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Localify AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your Customer Data or Output
  • Your violation of these Terms
  • Your violation of any rights of another person or entity

15. Modifications to Terms

We may modify these Terms at any time by posting updated Terms on our website or within the Service. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

For material changes, we will make reasonable efforts to provide notice, such as through email or in-app notifications. If you do not agree to the modified Terms, you must stop using the Service.

16. General Provisions

Governing Law: These Terms are governed by the laws of France without regard to its conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms will be resolved in the courts of Paris, France.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

Entire Agreement: These Terms, including the Privacy Policy, constitute the entire agreement between you and Localify AI regarding the Service.
